1. Agreement to Terms
By accessing or using the services provided by Automyz Custom Business Solutions ("Automyz," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
Automyz provides custom business automation, software integration, AI agent deployment, and digital transformation consulting services ("Services"). The specific scope of Services for each client is defined in a separate Statement of Work (SOW) or Service Agreement.
3. Professional Fees and Payment
3.1 Project Fees: Fixed-price project fees are as specified in your SOW. A non-refundable deposit is typically required before work commences.
3.2 Recurring Services: Managed Evolution and AI Intelligence subscriptions are billed monthly in advance. Failure to pay may result in suspension of automated workflows or AI agents.
3.3 Taxes: All fees are subject to applicable Canadian federal (GST) and provincial (HST/PST/QST) sales taxes based on your location.
4. Intellectual Property
4.1 Automyz IP: We retain ownership of all pre-existing code, proprietary frameworks, and methodology used to deliver our Services.
4.2 Client Delivery: Upon full payment of all fees, Automyz grants the Client a perpetual, non-exclusive license to use the custom integrations and configurations developed specifically for the Client's business.
5. Confidentiality and Data
We handle all client data in accordance with our Privacy Policy. Both parties agree to maintain the confidentiality of proprietary business information disclosed during the engagement.
6. Limitation of Liability
To the maximum extent permitted by Canadian law, Automyz shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our Services, including but not limited to loss of profits, data loss, or business interruption.
7. Governing Law
These Terms are governed by the laws of Canada and the province of operations. Any disputes shall be resolved in the courts of Canada.
